<p>While economic conditions show signs of improvement, many potential business buyers are still thinking twice about buying a business. However, the increased availability of seller financing combined with lower business prices has actually created an ideal situation for buying.</p>
<p>It’s true that the tight credit environment has made it increasingly difficult to access financing from lenders for a business purchase, but at the same time this lack of availability has necessitated that business sellers become much more flexible when it comes to offering financing. More and more sellers are recognizing the fact that they have to be willing to finance at least part of a business sale in order to attract buyers and successfully close transactions.</p>
<p>In light of this, BizBuySell.com allows buyers to quickly and easily filter through business-for-sale listings to determine which ones have seller financing available. The financing details appear alongside other essential information such as business description and location, asking price and cash flow. <p>Ok. When trying to get financed for an existing business purchase, I realize that lenders want some part of downpayment to show you are willing to take a risk also.</p>
<p>What if the owner is willing to offer financing for a large amount of the asking price? Could this take the place of my downpayment since I myself do not have the needed amount of funds required?</p>
<p>Sorry if this is a dumb question but im just trying to get a better understanding for my current situation.</p>

However, I think we all believe that some pieces are missing. Do you have any expertise in an industry? Have you narrowed your sphere of interest? Are you able to bring something to the table? If so, you may be able to negotiate a management contract with a seller for a &#8216;probationary period&#8217; to allow both of you to gauge the probability of success.</p>
<p>If, in fact, you are able to generate profits that prove your ability to succeed and to pay back owner financing in a timely fashion (while paying yourself a living wage), you may have a winning proposition. It&#8217;s a LONG SHOT and rarely works unless you find an owner who is retiring and is extraordinarily patient.</p>
<p>On the other hand, I&#8217;ve personally shepherded a few convulted transactions that required a minimum downpayment. Be prepared to write a concrete business plan and to pay a healthy interest rate. It&#8217;s called &#8217;sweat equity&#8221; for a reason and the negotiations &#8211; quite frankly &#8211; are a bear.</p>

Robert&#8217;s point is well taken, in that much of the down payment requirement is to guard the lender&#8217;s position, should there be a decline in the value. In the current economy, that is much more of an issue than ever before, even with real estate loans.</p>
<p>But banking lenders will not normally allow the entire down payment to come from a second loan from the Seller. Whether they officially stipulate it or not, they will express the need for the Buyer to put some &#8220;skin&#8221; in the deal.</p>
<p>Moreover, you need to be careful about whether borrowing that much is safe, from your perspective. Does the business throw off enough Cash Flow to permit you to pay two notes: One to the Bank and one to the Seller?</p>
<p>I have said over and over again in this forum, that one of the biggest reasons that businesses fail, is because of a lack of capital, from the beginning. Does your need to rely on the Seller for part of the down payment mean you would go into this venture, cash poor? If so, that could be a deadly mistake!</span></p>

Also if you have excellent credit and can document substantial income you may qualify for an unsecured loan, although again this probably doesn&#8217;t apply for your situation.</span></p>

However, your question begs the question: &#8220;Why would a real estate license certify the competence of a business broker?&#8221; There is a world of difference between the valuation and marketing of a business vis-a-vis real estate. <p>Just as there are folks who manage to sell their own homes, there are certainly business owners who have succeeded in selling their own enterprises. Whether it is worth the time, energy and heartburn is obviously up to every individual seller but some of the critical issues you should address before considering this option are:</p>
<p>. The value of a home is infinitely easier to determine than a business. Similar homes in a location can be used as a baseline. How do you value a business? There are a myriad of ways to valuate larger businesses but small to medium sized enterprises simply do not fit any particular mold in most cases. In fact, the majority of small businesses are valued at the price that they eventually fetch. Cash flow, owner&#8217;s benefits, net income before taxes, and the Fair Market Value of existing FF&amp;E (Furniture, Fixtures, and Equipment) help to determine a &#8220;ball park&#8221; but the market determines the final Sales Price. Your best bet is to insure that there is a sufficiently open market among many potential buyers. SBX provides that market.</p>
<p>. Screening a buyer can be uncomfortable for FSBO&#8217;s (For Sale by Owner) sellers &#8211; as well as the buyer. Working through a business broker gives you a professional buffer &#8211; we regularly interview and screen potential buyers so that you only meet with those folks who might reasonably be expected to make an offer.</p>
<p>. Do you have the time to communicate and/or meet with every interested party? As experienced business brokers, we already know that every listing will generate a flood of inquiries over time &#8211; usually upwards of 30 &#8211; 50 (depending upon the listing) but only 1 or 2 of these eventually result in an offer. Our job at SBX is to meet with each of these individuals until we find a buyer. .Do you have the sales/marketing/accounting skills to prepare a professional package for your business? SBX prepares a professional package for every one of its clients, including website presence, a financial package that includes a cash flow analysis, owner&#8217;s benefit analysis, and an income tax return vs. financial statement reconciliation (whenever possible). This package is not only provided to registered buyers, but explained to them in great detail.</p>
<p>. Many buyers seeking to avoid brokerage fees are bargain hunters. It&#8217;s human nature. Just as the FSBO seller is hoping to shave selling expenses, many of their potential buyers are hoping to do the same. In many cases, any savings earned by not retaining a business broker evaporate in the negotiation process.</p>
<p>. What is your time worth? In an effort to avoid paying a brokerage commission, many FSBO sellers actually spend much more in terms of business disruption, lost opportunities, and their own compensation rates while working with potential buyers, vetting those buyers, researching, negotiating, and closing.</p>

State rules also vary about recognizing licensees across state lines, especially for interstate types of businesses like national franchises. Some states, like California, require either a broker license or law license to even advise a business owner on issues of sale, terms of sale, or introduction of a buyer to a seller for a fee. According to an IBBA convention Seminar in 2000, at least 13 states required Business Brokers to have a Real Estate license. The following require a license to practice as a business broker: Arkansas, California, Colorado[2], Florida, Georgia, Idaho, Illinois, Michigan, Minnesota, Nebraska, Nevada, Oregon[3], South Dakota, Utah, Wisconsin, and Wyoming.</span></p>

<p>Instead &#8211; I would encourage you to approach your listing price more realistically. That is, if a buyer were to pay cash &#8211; what would be their payback period? More likely, a buyer will need to borrow some portion of the sales price. Let&#8217;s use 80% of the price as an assumption. After servicing the debt, will they be able to enjoy a return of 20% or more? That&#8217;s the target for most commercial loans.</p>

He fired all the staff and replaced with the cleaning crew with a minimum wage who couldn&#8217;t sell water to a thirsty person. Besides their appearance and body language contributed to drastic reduction in sales. Another example of bad decision.<br />
If you ask these two sellers now that do you think you made bad decision that led to your downfall?, they will never admit it. Because this world is running with fools and not by smart people. S,ome people are born to commit mistakes, others learn from their own mistakes. Knowledge brings the power and sound decisions made will take you to heights of sky and bad decisions will take you to depths of oceon. So follow the protocol and guidelines for success and run the business with a caution like you are walking on the eggshell. Think before you act.<br />

<p style="text-align: left;">Rhonda, the first thing that is a requirement is to decide what kind of business you want to own. Buying a business just cause it is for sale is asking for trouble. Do you know anything about the business, have you had experience in that business, do you think you can fall in need to work, employee management, days you have to work, etc. Then when you find something that sounds interesting, go and find several and talk to people doing the business and see what is &#8220;really&#8221; required. A franchise is required to give you a Franchise Disclosure Document that lays everything out for you. You can go in with your eyes open and not take a chance the owner is telling you the truth</p>

<p style="text-align: left;">I don&#8217;t know about starting a mail box store but I can certainly address buying an existing store. I have sold both independently owned mailbox stores and Pak Mails. Location, demographics, and proximity to competitors appear to be significant factors in each store&#8217;s success.</p>
<p style="text-align: left;">The U.S. Postal system, in many cases, is overcrowded and simply does not cater to folks as these private mail box stores can. Convenience is key. If you find a location in an area with higher income demographics, customers are more than willing to pay for the time and effort saved.</p>
<p style="text-align: left;">Owner operators also appear to do better &#8211; a friendly and accomodating owner tend to cultivate loyalty among customers.
